Terms of Service

1. Agreement & Acceptance

By engaging GDB Studio — whether through a signed proposal, a deposit payment, or written confirmation via email or WhatsApp — you agree to be bound by these Terms of Service. These terms apply to all branding, web development, automation, and any other services provided by GDB Studio.

GDB Studio reserves the right to update these terms at any time. Continued engagement following any update constitutes acceptance of the revised terms.

2. Project Scope

All project work is scoped prior to commencement. The agreed scope of work is defined in the project proposal or invoice. Any additions or changes requested after work has begun are considered out-of-scope and will be quoted and charged separately.

• Scope changes must be requested in writing (email or WhatsApp)
• GDB Studio will provide a revised quote for any additions
• Work outside the agreed scope will not begin until the additional charge is confirmed and, where required, pre-paid
• Excessive scope changes may affect delivery timelines

3. Payment Terms

GDB Studio operates on a milestone-based payment structure to protect both parties:

• 50% upfront deposit — required before any work commences
• 50% on delivery — due before final files, code, or access credentials are handed over
• For larger projects, a 3-milestone structure may apply (40% / 30% / 30%)
• Accepted payment methods: bKash, Nagad, bank transfer (BD), wire transfer or card (USA)

All prices are quoted in BDT (Bangladeshi Taka) for BD clients or USD for international clients. Invoices are due within 5 business days of issuance. Late payments may delay project delivery or result in work being paused.

4. Revisions Policy

Each service tier includes a defined number of revision rounds as stated in your proposal. Revisions are defined as minor adjustments to approved designs or deliverables — they do not include redesigns or direction changes.

• Revision requests must be submitted in one consolidated list per round
• Each approved revision round reduces the remaining count by one
• Additional revision rounds beyond the included count are charged at our standard hourly rate
• Approvals given on a milestone waive the right to revise that milestone later at no charge

5. Delivery Timelines

Estimated timelines are provided in good faith at the time of proposal. Actual delivery may be affected by:

• Delays in client feedback or content provision
• Late payment of milestones
• Significant scope changes requested mid-project
• Force majeure events outside our control

GDB Studio will communicate proactively if a delay arises. We target 7–21 business days for most projects from the receipt of the deposit and all required content.

6. Client Responsibilities

To ensure timely delivery, the client agrees to:

• Provide all required content, assets, and credentials promptly upon request
• Review deliverables and provide feedback within 5 business days of submission
• Designate a single point of contact for communication to avoid conflicting instructions
• Ensure that any third-party content provided to GDB Studio is owned by or licensed to the client

7. Intellectual Property

Upon receipt of full and final payment, the client receives full ownership of the deliverables created specifically for their project (logos, website code, design files, etc.). Until final payment is received, all work remains the property of GDB Studio.

• GDB Studio retains the right to display completed work in our portfolio and marketing materials unless agreed otherwise in writing
• Third-party assets (fonts, stock images, licensed plugins) remain subject to their respective licences — the client is responsible for maintaining those licences
• GDB Studio's own methodologies, tools, and internal frameworks are not transferred as part of the project

8. Confidentiality

GDB Studio treats all client information — business plans, financials, user data, internal systems — as strictly confidential. We will not disclose any confidential information to third parties without written consent, except where required by law.

Clients are similarly asked not to publicly disclose the specific methodologies, pricing structures, or internal processes of GDB Studio without permission.

9. Warranties & Limitation of Liability

GDB Studio warrants that all work is completed with professional care and skill. We provide a 14-day post-delivery support period to address bugs or issues arising from our own code or design.

GDB Studio is not liable for:

• Loss of revenue, profit, or business opportunity arising from project delays
• Issues caused by third-party services, hosting providers, or platforms
• Damages resulting from client misuse of delivered assets
• Any indirect, incidental, or consequential damages beyond the project fee paid

10. Project Cancellation

Either party may cancel a project with written notice. In the event of cancellation:

• Work completed up to the point of cancellation is billable at the agreed milestone rate
• The upfront deposit is non-refundable once work has commenced
• Any deliverables completed up to cancellation will be handed over only upon full payment for work done

11. Governing Law

For clients based in Bangladesh, these terms are governed by the laws of the People's Republic of Bangladesh. For international clients, disputes shall be resolved under the laws of the State of Texas, United States, unless otherwise agreed in writing.

Both parties agree to first attempt resolution through good-faith negotiation before pursuing any legal action.
